The Securities and Exchange Commission (SEC) has finalized its multi-year review of Coinbase’s financial disclosures, confirming that no amendments or restatements are needed. The review, which examined Coinbase’s Form 10-K filings for fiscal years ending December 31, 2022 and 2023, was concluded without any required changes. Chief Legal Officer Paul Grewal noted that the outcome resolved numerous comments raised during more than two years of engagement with the SEC’s Division of Corporation Finance. Although the SEC stressed that the review’s completion does not amount to an endorsement of the filings, the decision is being viewed as a positive signal amid an evolving regulatory landscape. This milestone comes as the regulatory environment adjusts with changes in US enforcement approaches, potentially fostering greater confidence among digital asset companies and investors regarding disclosure practices and market operations.
