Gemini is facing renewed scrutiny from crypto industry professionals as its publicly traded stock, Gemini Space Station (NASDAQ: GEMI), has collapsed from its September 2025 debut price of $28 to just over $5, reviving speculation that the licensed US exchange could become a takeover target. There is no confirmed bid, but the gap between Gemini's depressed listed valuation and the cost of building a regulated US crypto and markets platform from scratch has made acquisition talk more persistent.
The company's second-quarter disclosures illustrate the pressure: exchange revenue fell 38% year over year to $12.5 million, spot volume dropped 66% to $3.8 billion, and platform assets fell to $8.4 billion from $18.2 billion a year earlier. Although total revenue still rose because of services and interest income, Gemini continued to report losses. Earlier in 2026, Gemini cut staff, closed UK, EU, and Australian operations, and narrowed its footprint to the United States and Singapore. Reports circulated that some parties were more interested in leftover overseas licenses than purchasing the whole listed company, but no deal materialized.
Control remains tightly held by founders Cameron and Tyler Winklevoss, who maintain about 94.5% of voting power through super-voting stock. That structure could simplify a negotiated sale but also makes a hostile or shareholder-forced transaction almost impossible. In May 2026, their investment vehicle added a $100 million bitcoin-funded private placement at $14 per share, above the then-market price, signaling no immediate exit.
The competitive landscape has also shifted. Coinbase remains the listed incumbent in US spot trading and brand scale, while Kraken has continued to expand products and share. Gemini has attempted to reposition itself as a markets company through prediction contracts, commission-free US equities and ETFs, agentic trading tools, and a planned push into perpetual futures if US rules allow. However, those initiatives have not yet shown consistent trading economics or profitability against better-capitalized rivals.
Meanwhile, Gemini's social media engagement, including a viral portfolio-review tweet, reflects broader trader anxiety as crypto markets show mixed signals. Market participants are watching network activity, transaction volumes, and exchange sentiment to gauge whether volatility will intensify.
