Management said the $56 million purchase price represents less than three times its forecast for the combined 2027 revenue of the acquired businesses. The agreements also include potential earnouts of up to $32 million if performance targets are met through 2028. The consideration can be paid in cash or Ondas stock.

The acquisitions introduce new equity issuance and dilution risk. Ondas approved restricted stock units covering about 2.98 million shares and options for another 80,000 shares for 37 employees joining through the transactions. A separate SEC filing registered about 7.82 million ONDS shares for resale by holders connected to the acquisitions. Ondas itself will not receive proceeds from those resales.

The stock remains volatile. ONDS closed Tuesday at $7.72 and is still well below its 52-week high above $15. For now, the acquisitions are the clearest new catalyst as investors weigh added defense capabilities against integration risk, earnouts, and stock-based dilution.
